PropBridge Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of the PropBridge marketplace app ("PropBridge" or "the Service"), operated by VortexWeb LLC ("VortexWeb", "we", "us") and distributed through the Bitrix24 marketplace.

By installing PropBridge into a Bitrix24 portal you accept these Terms. If you do not accept them, do not install PropBridge. Uninstalling PropBridge ends these Terms with respect to that portal.

3. What PropBridge does

PropBridge captures lead enquiries from connected real-estate portals and creates Deals in the Customer's Bitrix24 CRM, with listing attribution, agent matching, and an audit trail. PropBridge stores its operational state (OAuth tokens, encrypted portal credentials, transient lead payloads, aggregate counters) in Cloudflare Workers KV, and stores per-tenant configuration as Universal Lists inside the Customer's own Bitrix24 portal.

4. Acceptance and term

Installing PropBridge into a Bitrix24 portal constitutes acceptance of these Terms by the Customer. These Terms remain in effect for that portal until PropBridge is uninstalled or terminated under section 14.

Where the person performing the install is acting on behalf of an organisation, they represent that they have authority to bind that organisation to these Terms.

6. Pricing and free tier

PropBridge is free for the first 10 routed leads per calendar month per Bitrix24 portal. Beyond that, paid tiers from AED 99/month apply. Current tiers and limits are published on the in-app Billing page and in the marketplace listing. Pricing is in AED (UAE Dirhams); Bitrix24 may convert to local currency at checkout.

Fees may change on 30 days' written notice (in-app, email, or posting to this URL). Continued use after the effective date constitutes acceptance of the new pricing.

7. Payment

Where applicable, fees are billed by Bitrix24 through the marketplace billing system, or directly by VortexWeb under a separate written agreement (e.g. enterprise plans). Bitrix24's payment processing terms apply to marketplace-billed subscriptions.

Payments are non-refundable except as set out in section 8 or as required by applicable consumer-protection law.

8. Refunds

The Customer may request a full refund within 14 days of initial purchase if PropBridge has not been used to route any leads (i.e. the lead counter is 0) and the Customer has uninstalled the app. Refund requests are made by emailing support@vortexweb.io with the Bitrix24 portal domain and order reference. Refunds are typically processed within 14 business days through the same channel that took the payment.

No refunds are issued after 14 days, after PropBridge has been used to route leads, or in the case of termination for breach under section 14.2.

9. Service availability

PropBridge is provided on an "as is" and "as available" basis. VortexWeb targets monthly uptime of 99% on paid tiers. The free tier is provided on a best-effort basis with no contractual uptime target.

Excluded from uptime calculations: downtime caused by Bitrix24, Cloudflare, the Portal APIs, or scheduled maintenance announced at least 24 hours in advance.

No specific service level is contractually guaranteed beyond what is set out in a separately signed service-level agreement.

10. Disclaimer of warranties

Except as expressly set out in these Terms, PropBridge is provided without warranties of any kind, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. VortexWeb does not warrant that PropBridge will be uninterrupted, error-free, or free of harmful components, or that all leads from connected portals will be captured, deduplicated, or routed correctly.

11. Limitation of liability

To the maximum extent permitted by applicable law, VortexWeb's total cumulative liability under these Terms for all claims taken together shall not exceed the greater of (a) fees paid by the Customer for PropBridge in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.

In no event shall VortexWeb be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of revenue, or loss of business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any other liability that cannot be excluded or limited under applicable law.

12. Intellectual property

PropBridge software — including source code, design, copy, trademarks, and documentation — is the exclusive property of VortexWeb LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms grant the Customer a non-exclusive, non-transferable, revocable licence to use PropBridge inside their Bitrix24 portal for the term of these Terms.

Customer Data remains the property of the Customer. The Customer grants VortexWeb a limited licence to process Customer Data solely as necessary to operate PropBridge, as described in our Privacy Policy.

13. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information, and at minimum a commercially reasonable standard. Confidential information includes Bitrix24 OAuth tokens, Portal API credentials, and any information marked confidential or that a reasonable person would treat as confidential.

14. Termination

14.1 Termination by the Customer

The Customer may terminate at any time by uninstalling PropBridge from their Bitrix24 portal. PropBridge will purge tenant data associated with that portal from PropBridge infrastructure within 30 days of uninstall, as described in the Privacy Policy.

VortexWeb may suspend or terminate access immediately if the Customer:

On termination, the Customer's licence to use PropBridge ends. PropBridge purges tenant data within 30 days of termination, as described in the Privacy Policy. Sections that by their nature survive termination (intellectual property, limitation of liability, governing law, indemnification, confidentiality) survive.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the courts of the DIFC. The parties agree to attempt good-faith negotiation for at least 30 days before commencing formal proceedings.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, where practicable, notified inside the PropBridge app. Continued use of PropBridge after the effective date constitutes acceptance of the updated Terms. If you do not accept an update, you may uninstall PropBridge.

17. Entire agreement; severability

These Terms, together with the Privacy Policy and any applicable order form or service-level agreement, constitute the entire agreement between you and VortexWeb in relation to PropBridge and supersede any prior agreements on the same subject matter.

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
